Yoram L. Cohen, Ashlagi, Eshel represented a company controlled by Mr. Ziel Feldman, a New York real estate tycoon, in a USD 50 million acquisition transaction of Polar Investments Ltd., an Israeli public company. According to the transaction, the investor shall invest the sum of NIS 207 million in Polar against issuance of shares of Polar constituting 41.2% of the voting rights in Polar. In addition, the investor was granted an option by Polar to purchase additional shares therein. As part of the transaction, Leader Holdings & Investments Ltd., an Israeli public company and the controlling shareholder of Polar, granted to the Investor an option to purchase additional shares of Polar, which after exercising all options pursuant to the transaction, the investor is anticipated to hold 54.7% of the voting rights in Polar.
