Partner, Dana Livneh-Zemer, represented Danshar Group, a prominent Israeli organization engaged in importation and distribution of international and domestic products in Israel, in a transaction for the acquisition of the control of Intercosma Ltd. (a company traded on the Tel-Aviv Stock Exchange TASE: INCS) from its current controlling shareholders, for an aggregate consideration of approximately NIS15,500,000. As part of the transaction, some of the current controlling shareholders of Intercosma were granted a put option to sell to Danshar the remaining of their shares in the Company under terms agreed upon in the agreement between them Adv. Livneh-Zemer also represented Danshar in obtaining the regulatory approvals, including the approval of the approval of the Israeli Commissioner of Trade Practices.
